Purpose
1.
This briefing recommends that you consult with your Ministerial colleagues on the
candidates you intend to recommend to the Governor-General for appointment to the
Winston Churchill Memorial Trust Board (the Board) using the attached draft Cabinet
paper (
Appendix B).
Background
2.
On 30 September 2021 you selected Semi Asafo, Benjamin Brooks, Alison Cadman,
s9(2)(a) OIA Dr David Ivory MNZM, Jason Sebestian and Dr Rogena Sterling as your

preferred candidates for terms of office beginning on 1 January 2022 [CVS202100269].

s9(2)(a) OIA term will end on 30 June 2023 as s9(2)(a will complete the term of office of a
former member who resigned. The remaining appointments will be for six-year terms

As required by section 4(1) of the Winston Churchill Memorial Trust Act 1965, you also
wrote to the Chair of the Board seeking the Board’s feedback on your preferred
candidates. On 7 October 2021 the Chair replied noting the Board’s support for your
proposed candidates (
Appendix A).

It is recommended that you begin consultation on 18 October 2021 and seek feedback

timetable for the appointments process provides for final letters of appointment to be

REAPPOINTMENT

Proposal

This paper outlines my intention to recommend seven appointments to the

Governor-General to the Winston Churchill Memorial Trust Board (the Board).
Background

The Board was established by the Winston Churchill Memorial Trust Act 1965
(the Act). It provides grants as fellowship awards for New Zealanders to travel
overseas to learn more about other people and cultures, and to study topics
that will help increase their contribution to the community and in their trade,
industry, profession or business. The fellowships provide opportunities for
individuals who may not qualify for tertiary study awards or other sources of

The Board is established under section 3 of the Act and comprises:
3.1
nine members appointed by the Governor-General on the
recommendation of the Minister for the Community and Voluntary
Sector;

a chair appointed, from the nine members, by the Governor-General on
the recommendation of the Minister for the Community and Voluntary

Sector; and
3.3
a deputy chair elected by the members of the Board from the nine
members.

The Act specifies that an individual can only be a member of the Board for one

six-year term, unless they serve a partial term of less than three years in which
case they can be reappointed.

Seven of the nine appointments to the Board are included in this appointment
round. This means that decisions on these appointments will shape the
composition of the Board for the foreseeable future. Six appointments will be
for the full six-year term ending in 2027, and one will be for a shorter term
ending in 2023. This is to complete the term of office of a former member who
resigned. A full list of the current membership is in the attached organisation

The Act does not include any specific qualifications or requirements for
appointment to the Board. As the recommending Minister, it is my opinion that
the individuals I have recommended have the appropriate knowledge, skills
and experience to enable the Board to perform its functions.

I have considered the following key selection criteria in deciding which
candidates to recommend to the Governor-General for appointment:
7.1
governance experience, preferably in the public sector or community
sector setting; and
7.2
financial management and investment literacy.

The call for nominations also stated that an understanding of the Winston
Churchill Memorial Trust as a former Winston Churchill Fellow would be

Candidates’ ethnicity, gender, age and place of residence have also been
considered with a view to increasing the diversity of perspectives among the

members of the Board.
Recommended appointments
Recommended appointments for six-year terms

I propose to recommend that the Governor-General appoints the following
individuals to six-year terms of office beginning on 1 January 2022 and ending
on 31 December 2027.
Information

Fuimaono (Semi) Asafo of Auckland is a current member who was appointed
to the Board in August 2021 to complete the term of a former member who
resigned. Mr Asafo is eligible for reappointment to a full six-year term as his
original appointment was for less than three years.

Mr Asafo has experience in strategic thinking, financial management with

institutional investment and grant making, and community involvement through
service on numerous community boards. He holds a Bachelor of Commerce
and a Bachelor of Laws from the University of Auckland. He was admitted as a

Barrister and Solicitor of the High Court of New Zealand in 2005. Mr Asafo
identifies as s9(2)(a) OIA

Benjamin Brooks of Auckland is a past Winston Churchill Fellow and is a
Senior Policy Manager at Auckland Council. He has a broad range of
experience in the public sector, and in leadership and governance roles. He

has a keen interest in social media and using innovative methods to engage
with diverse communities.

Alison Cadman of Wellington is a past Winston Churchill Fellow and the Chief
Executive of Dwell Housing Trust which provides social and affordable
housing. Ms Cadman has business qualifications and is familiar with reviewing
and making decisions on loan applications. She is a member of the Newtown
Ethical Lending Trust and was previously a member of the Community
Released
Housing Aotearoa National Council.

Dr David Ivory MNZM of Christchurch is a District Licensing Commissioner on
the Christchurch City Council. His professional background is in business and
education, most recently in senior positions at St John’s College, Hastings. He
has held school and university board positions and is a member of the New
Zealand Paramedic Council. He is a past Fulbright (New Zealand) recipient. Dr

Ivory has held voluntary positions with the Workers’ Educational Association,
Howard League for Penal Reform and the New Zealand Edmund Rice Justice
Aotearoa / New Zealand Trust National Board. In 2015 he received a New
Zealand Order of Merit for services to education and the community.

Jason Sebestian of Auckland has been the National Humanitarian
Development Manager at the New Zealand Red Cross since 2016 and is
about to take up a role as Change Manager at Auckland Council. He identifies
as s9(2)(a) OIA

Mr Sebestian has board and governance experience in the public and private
sector, in paid and voluntary roles. He is a past member of the Waikato Lottery
Community Committee and of advisory and funding panels for the Ministry of

Social Development, the Ministry of Youth Development, and the former Office
of Ethnic Communities. He was previously a member of the Volunteering
Waikato Board of Trustees, the Governance Committee of the Young Workers’
Resource Centre, and a trustee of the Hamilton North East Community Trust
and the Indigo Multicultural Festival Trust.

Dr Rogena Sterling of Hamilton is a researcher and writer at the University of
Waikato. Dr Sterling was the first openly intersex person in New Zealand to
receive a PhD and has worked with diverse vulnerable populations. Dr Sterling
is a member of Statistics New Zealand’s Sex and Gender Standards Advisory
Information
Group, the Co-Chair of the Board of the Intersex Trust of Aotearoa New
Zealand, and a member of the Board of Pacific Women’s Watch.

any other actual and reasonable expenses.

Appointment process and consultation

I can confirm that an appropriate process has been followed in selecting the
proposed appointees, in terms of the Te Kawa Mataaho Public Service
Commission appointment guidelines. In summary, that has involved seeking
nominations from the state sector nominating agencies and public advertising.
Nominations were also sought from Ministerial colleagues.

I have also consulted with the Board on my intended recommendations to the
Governor-General. The Board is supportive of my intended recommendations. 1982
It is a statutory requirement under the Act for me to undertake such
consultation.

I can confirm that appropriate enquiries concerning conflicts of interest have
been carried out in accordance with the Te Kawa Mataaho Public Service
Commission appointment guidelines. In the event of any actual or potential
conflicts of interest arising all candidates have agreed to promptly declare that
conflict and abide by any decision made about the management of that
conflict.

The Winston Churchill Memorial Trust Board’s primary function is to allocate travelling
fellowships to help New Zealanders to travel overseas for intensive investigative research
on topics that will help increase their contribution to the community and their trade,
